Employee Representation in Corporate Governance – New Trends

Employee representation in the bodies of corporate governance has already reached a well-established position in European countries. It can be observed in a dualistic model of corporate governance, with a supervisory board and a management board, quite more often, and in an extended scope, than in a monistic model with a board of directors. Such a position, however, does not mean that employee representation does not undergo any transformation in the particular countries. It is possible to indicate some long-term changes which have been taking place for a dozen years or even for several decades, as well as some short-term, current changes. The latter changes come as a result of political conditions and economic situation in the particular countries. Both these factors were considerably affected by the financial crisis of 2008. The crisis has reinforced the right-wing parties which usually oppose employee participation. The crisis has also contributed to the worsening of the economic situation in numerous countries, which may still result in a decrease in the scope of employee participation in general, and employee representation in corporate governance in particular.
The article presents some long-term changes in employee representation in corporate governance (Scandinavian countries, European corporations), as well as current changes (privatization, a change in the corporate governance model, etc.).
